- NetEase.com, Inc. Announces Change in Board Seat

NetEase.com, Inc. (Nasdaq: NTES), a leading Internet technology provider in China, today announced that one of its directors, Mr. Lawrence J. Smith, has resigned effective November 5, 2001 and that the Board has elected Mr. John Yu Leung Lau to fill the vacancy. Mr. Smith was originally nominated and elected to the Board in October 2000 in accordance with the contractual rights of an affiliate of The News Corporation Limited, which is entitled to nominate one director and to cause certain shareholders to vote in favor of that nominee. Mr. Smith resigned from the Board in conjunction with his resignation from his positions with News Corporation and its affiliates.

(Nasdaq: NTES), a leading Internet technology provider in China, today announced that it has become aware of a pending class action lawsuit against the company, Mr. William Lei Ding (the company's founder and Chief Architect), Mr. King F. Lai (the company's former Chief Executive Officer and a former director), Ms. Helen Haiwen He (the company's former Chief Financial Officer and a former director) and the underwriters of its initial public offering of American Depositary Shares in July 2000, alleging violations of U.S. federal securities law arising in connection with the company's restatement of its audited financial statements for the year ended December 31, 2000.

(Nasdaq: NTES), a leading Internet technology provider in China, today announced that on July 19, 2001, it received notice from The Nasdaq Stock Market ("Nasdaq") that Nasdaq intends to delist the company's American Depositary Shares from the Nasdaq National Market at the opening of business on July 27, 2001. In the notice, Nasdaq asserted that NetEase.com is in violation of Nasdaq Marketplace Rule 4310(c)(14) because it has not yet filed with Nasdaq and the U.S. Securities and Exchange Commission its Annual Report on Form 20-F.
